Tacodeli Holdings, Inc. (“Tacodeli,” “Sponsor” and collectively, “we,” “us” or “our”) will be giving away a prize of free tacos (the “Sweepstakes”). The Sweepstakes is subject in its entirety to the terms and conditions set forth in these Official Sweepstakes Rules (these “Rules”). Any violation of these Rules may result in disqualification. We are solely responsible for conducting the Sweepstakes and for awarding the prizes. All decisions of Tacodeli are final and binding in all respects. If you have any questions after reading through these Rules, please send an email to marketing@tacodeli.com. NO PURCHASE IS NECESSARY TO ENTER OR WIN.

1. How to Enter. Contestants may enter to win by purchasing one of Tacodeli’s Grab & Go tacos between the dates of XXXX, and XXXX. Winning tickets will be randomly placed inside the taco wraps. Contestants can also enter to win by mailing a postcard with your complete contact information to: Tacodeli Marketing, PO Box 5575, Austin, TX 78763.  Only one postcard entry per person, per day, will be accepted.
2. Sweepstakes Period. Contestants may enter this Sweepstakes beginning on XXXX, and ending on XXXX, at 5:00 pm (the “Sweepstakes Period”). Mail in entries must be postmarked during the Sweepstakes Period and received by 11:59 pm CST on XXXX.
3. Eligibility. This giveaway is only open to legal residents of Texas who are at least 18 years old as of the date of entry (“Contestants”). Employees of Tacodeli, its affiliates, subsidiaries, advertising and promotion agencies, suppliers, and any other party associated with the development or administration of this Sweepstakes, (collectively the “Employees and Affiliates”), and immediate family members and/or those living in the same household of Employees and Affiliates are not eligible to participate. This Sweepstakes is void outside the State of Texas, and where prohibited or restricted by law. This Sweepstakes, and all promotions relating thereto, are subject to all federal, state, and local laws and regulations.
4. Winner Selection and Notification. Grab ‘n Go taco contestants will be notified immediately of their prize based upon the discovery of a winning ticket inside their taco wrapper. On or around the date XXXX, one name will be selected at random from all eligible postcard entries. Contestants need not be present to win. Potential winners will be notified within seven (7) days following the selection by mail, email and/or telephone. If a potential winner cannot be contacted, does not respond within five (5) days from the date the Tacodeli first tries to notify him/her, and/or the prize or prize notification is returned as undeliverable, such potential winner forfeits all rights to win the Sweepstakes or receive the prize, and an alternate potential winner may be selected. Upon contacting a potential winner and determining that he/she has met all eligibility requirements of the Sweepstakes, including without limitation the execution of required waivers, publicity and liability releases, such individual will be declared a “winner” of the Sweepstakes. If a winner is deemed to be a minor under the jurisdiction of his/her residence, the prize will be awarded in the name of his/her parent or legal guardian.
5. Prizes. Two tiers of instant prizes will be awarded:
   1. Tier 1: One free taco
   2. Tier 2: Free tacos for a year, defined as 2 tacos/week for 52 weeks
6. Odd of Winning. The odds of winning depend on the number of eligible entries received but are estimated at 1-in-10. Tacodeli will give away at least 3,000 tacos during the Sweepstakes Period valued at $5 per taco.
7. No Prize Transfer or Substitution. No prize or any portion thereof is transferable or redeemable for cash. No substitutions for the prize may be made by any party other than Tacodeli.
8. Winner Selection and Notification. Winners will be selected at random.  Two additional winners who post their winning taco(s) on Instagram, and tag @tacodeli, will be randomly selected on XXXX, by 11:59 pm CST. Winner(s) will be notified by direct message through Instagram “DM” within 3 days following selection of such winner.
9. Consent and Release. By entering the Sweepstakes, each entrant releases and discharges Tacodeli and any other party associated with the development or administration of this Sweepstakes, their parent, subsidiary, and affiliated entities, and each of their respective officers, directors, members, shareholders, employees, independent contractors, agents, representatives, transferees and assigns (collectively, “Sponsor Entities”), from any and all liability whatsoever in connection with this Sweepstakes, including without limitation legal claims, costs, injuries, losses or damages, demands or actions of any kind (including without limitation personal injuries, death, damage to, loss or destruction or property, rights of publicity or privacy, defamation, or portrayal in a false light) (collectively, “Claims”). Except where prohibited: (i) acceptance of a prize constitutes the consent of any winner, without further compensation, to use the name and likeness of such winner for editorial, advertising and publicity purposes by the Sponsor or others authorized by the Sponsor; (ii) acceptance of a prize constitutes a release by any winner of the Sponsor Entities of any and all Claims in connection with the administration of this Sweepstakes and the use, misuse, or possession of any prize.
10. Terms & Conditions: Entries that are lost, late, misdirected, incorrect, garbled, or incompletely received, for any reason will not be eligible. Tacodeli reserves the right, in its sole discretion at any time, to cancel, terminate, modify or suspend the giveaway and to disqualify any person tampering with the entry process or the operation of the Sweepstakes. SPONSOR ENTITIES MAKE NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WITH RESPECT TO THIS SWEEPSTAKES

ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY INTERFERE WITH THE ENTRY PROCESS OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

1. Agreement to Rules. By participating, the Contestant (“You”) agree to be fully unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements.
2. Applicable Laws and Jurisdiction. Issues concerning the construction, validity, interpretation and enforceability of these Rules shall be governed by the laws of the State of Texas. All disputes arising out of or connected with this Sweepstakes will be resolved exclusively by a state or federal court located in Austin, Travis County, Texas. All judgments or awards shall be limited to actual out-of-pocket damages (excluding attorneys’ fees) associated with participation in this Sweepstakes.
3. Disputes. Entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees or any indirect, punitive, incidental and/or consequential damages; and (3) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
4. Privacy Policy. Any personal information supplied by You will be subject to the Privacy Policy stated on the Tacodeli’s website at www.tacodeli.com. By entering the Sweepstakes, you grant Tacodeli permission to share your email address and any other personally identifiable information with affiliates of the Sponsor for the purpose of administration and prize fulfillment, including use in a publicly available Winner’s list.
